1. Acceptance of Terms and Conditions

1.1. This Website Terms and Conditions governs your use of the website located at
https://flyelinair.com/ (the “Site”), which is owned and operated by Elin Air and Aviation Services Limited (the “Company”, “Elin Air”, “we”, “us” or “our”).

1.2. By accessing, browsing or using the site or any pages of the site, you acknowledge that you have read, understood and agree to be bound by this website terms and conditions (collectively, “terms and conditions”) and our website privacy policy.

1.3. If you do not agree with any part of these terms and conditions, please do not access or use the site. By accepting these Terms and Conditions, you represent and warrant that:
a. You are 18 years of age or older; and
b. Where you accept these Terms on behalf of a corporation, partnership, governmental body, aviation operator, logistics company or any other entity, you represent that you have the legal authority to bind such entity to these Terms.

2.1. These Terms and Conditions may be revised or updated at any time for operational, legal,
regulatory or other reasons as we may determine. Any updates shall become effective upon posting on the Site. You may determine the date of the most recent revision by referring to the “Last Updated” notation at the beginning of these Terms.

2.2. By continuing to access or use the Site after revisions have been posted, you agree to be
bound by the updated Terms and Conditions.

2.3. You agree to use the Site only for lawful purposes and in compliance with all applicable laws, regulations, and aviation industry standards.

2.4. Any use of the Site inconsistent with these Terms may constitute unauthorized access
and may expose the user to civil or criminal liability. We recommend that users review these Terms periodically.

3.1. All materials on the Site, including but not limited to text, images, graphics, logos, aviation service descriptions, system architecture, digital design, software programs, data, analytics and reports (collectively, the “Site Content”) are owned by or licensed to Elin Air or its affiliates.

3.2. The Site Content is protected by applicable copyright, trademark, intellectual property and other proprietary laws in Nigeria. Except as expressly permitted in writing by Elin Air, users shall not:
a. Copy, reproduce, or republish the Site or Site Content;
b. Modify or create derivative works;
c. Distribute or commercially exploit the Site Content;
d. Reverse engineer or attempt to access the underlying software or systems of the site.

4.1. The Site may contain information relating to aviation services provided by Elin Air, including:
a. Aircraft Charter Services
b. Air Cargo and Logistics Services
c. Fixed Base Operator (FBO) Services
d. Aircraft Maintenance, Repair and Overhaul (MRO) Services

4.2. Nothing on the Site shall constitute a binding offer to provide aviation services. All services are subject to:
a. operational availability
b. aircraft scheduling
c. regulatory approvals
d. weather conditions
e. airport operational restrictions
f. compliance with aviation safety regulations

4.3. Formal service engagements may only arise upon execution of appropriate commercial agreements between the Company and the client.

5.1. The Site may contain links to websites operated by third parties. Elin Air does not review
or control such websites and is not responsible for their content, services, or privacy practices.

5.2. The presence of a link does not constitute endorsement by Elin Air of any products, services or information offered by third parties. Accessing third-party websites is done entirely at your own risk.

5.3. Elin Air reserves the right to remove or disable links to any third-party website at any time.

6.1. If you access the Site using a mobile device, your mobile network provider may charge you applicable data, airtime or usage fees. You agree that you shall be responsible for all such charges.

6.2. Service availability may vary depending on network coverage, geographic location and device compatibility.

7.1. All product names, service names, logos, brand marks and design elements appearing on the Site are trademarks or service marks owned by Elin Air or licensed to the Company. These trademarks include, without limitation: (i) Elin Air, (ii) Elin Aviation, and (iii) associated logos and branding elements.

7.2. The absence of any trademark symbol does not constitute a waiver of any intellectual property rights.

7.3. Nothing on the Site shall be interpreted as granting a license or right to use any trademark without the prior written consent of Elin Air. Unauthorized use of any trademarks is strictly prohibited.

8.1. Elin Air may disclose personal information, IP addresses or other relevant data where it believes in good faith that such disclosure is necessary to comply with applicable law, comply with court orders, subpoenas or regulatory directives, cooperate with law enforcement agencies and protect the rights, safety or property of the Company, its users, or the public.

8.2. Aviation operations referenced on the Site are subject to regulatory oversight by relevant authorities including aviation regulatory agencies and airport authorities.

9.1. Users may submit information through the Site including service inquiries, charter requests, cargo service requests, partnership proposals and other communications. Such submissions are referred to as “User Content.” You shall be solely responsible for any User Content submitted through the Site.

9.2. You agree that you will not submit content that:
a. violates any law or regulation
b. infringes intellectual property rights
c. contains malicious software or harmful code
d. is defamatory, abusive, obscene or offensive
e. constitutes spam, unauthorized advertising or fraudulent communications

9.3. Elin Air reserves the right to remove, block or edit User Content at its sole discretion.

9.4. By submitting User Content, you grant Elin Air a non-exclusive, royalty-free, perpetual license to use such information for purposes not limited to operational, administrative and service purposes.

10.1. The Site is hosted in Nigeria and is primarily intended for users located within Nigeria. However, international users may access the Site.

10.2. Users accessing the Site from outside Nigeria do so on their own initiative and are responsible for compliance with local laws applicable in their jurisdiction.

10.3. Elin Air makes no representation that the Site is appropriate or available for use in all jurisdictions.

You agree to indemnify and hold harmless Elin Air, its affiliates, directors, officers, employees, contractors and partners from and against any claims, liabilities, damages, losses or expenses (including reasonable legal fees) arising from your use of the Site, your violation of these Terms and Conditions, your infringement of any third-party rights and any User Content you submit through the Site.

Elin Air strives to maintain the continuous operation of the Site. However, the Site may occasionally be unavailable due to situations not limited to system maintenance, technical upgrades, cybersecurity measures, equipment failure, and network interruptions. Elin Air reserves the right to suspend or discontinue the Site or any portion of it without prior notice.

13.1. Elin Air may terminate or suspend your access to the Site at any time for any reason, including violation of these Terms and Conditions. Termination may occur without prior notice.

13.2. Notwithstanding 13.1 above, certain provisions of these Terms and Conditions such as intellectual property rights, limitation of liability, indemnification, dispute resolution shall by their nature, survive termination.

14.1. The Site and all Site Content are provided on an “as-is” and “as-available” basis. Elin Air makes no warranties or representations regarding accuracy, completeness, reliability, uninterrupted availability of the Site.

14.2. To the fullest extent permitted by law, Elin Air shall not be liable for any indirect damages, incidental damages, consequential damages, loss of profits, data loss, business interruption arising from use of the Site. Your sole remedy for dissatisfaction with the Site is to discontinue its use.

15.1. These Terms and Conditions shall be governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms shall first be resolved through good-faith negotiations. If unresolved within 30 days, the dispute shall be referred to arbitration in accordance with the Arbitration and Mediation Act 2023 (Nigeria). The seat of arbitration shall be Lagos, Nigeria.

15.2. Nothing in this clause shall prevent either party from seeking injunctive relief from a court of competent jurisdiction.

16.1. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16.2. These Terms constitute the entire agreement between the user and Elin Air concerning use of the Site.

16.3. Failure by Elin Air to enforce any provision shall not constitute a waiver of that provision.
